- Signing a proposal, service agreement, or statement of work,
Making a payment for any of our services, you confirm that you have read, understood, and agree to be legally bound by these Terms, our Privacy Policy, and our Refund & Cancellation Policy.
These Terms apply to all visitors, prospects, and active clients of Redefine ROI.
Services & Scope of Work
Service Agreement
The specific deliverables, timelines, SEO pricing, and result expectations for each engagement will be outlined in a separate Proposal, Service Agreement, or Statement of Work (SOW) provided to you before work begins. These documents form part of the overall agreement between you and Redefine ROI and must be in conjunction with these Terms.
Changes to Scope
Any changes to the agreed scope of work — including additional deliverables, revised timelines, or expanded targets — must be requested in writing and approved by both parties. Scope changes may result in revised pricing or timelines.
Service Availability
We reserve the right to modify, suspend, or discontinue any service at any time with reasonable prior notice. In the event of a service discontinuation, we will fulfil all obligations for work already paid and in progress.
Client Responsibilities
To enable us to deliver the best possible results, clients agree to:
- Provide timely access to required assets, including website admin access, Google Search Console, Google Analytics, ad accounts, and other relevant tools.
- Supply accurate information about their business, target audience, competitors, and goals.
- Respond to requests from our team within agreed timelines to avoid project delays.
- Notify us promptly of any significant changes to their website, brand strategy, or business model that may affect ongoing SEO work.
- Do not engage conflicting services — running simultaneous SEO campaigns with another agency without disclosure may compromise results and impact refund eligibility.
- Maintain website stability — avoid making major structural, technical, or content changes without consulting our team during an active engagement.
Failure to meet these responsibilities may affect project outcomes and, in some cases, eligibility for refunds or service credits.
Late Payments
If payment is not received within the due date:
- Redefine ROI reserves the right to pause or suspend ongoing work until the outstanding balance is settled.
- A late payment fee of up to 2% per month may apply to overdue balances.
- Persistent non-payment may result in termination of the engagement and referral to a collection process.
Taxes
All fees are exclusive of applicable taxes. Clients are responsible for any GST, TDS, or other applicable taxes as per Indian tax regulations or the laws of their jurisdiction.
No Guarantee of Results
Search engine optimization and digital marketing are complex. While we follow industry-best practices and employ transparent, white-hat methodologies, Redefine ROI does not and cannot guarantee:
- Specific ranking positions on Google or any other search engine
- A defined volume of organic traffic
- A minimum number of leads, conversions, or sales
- Specific outcomes from GEO/LLM visibility efforts, as AI search engines are continuously evolving
Search engine algorithms are proprietary and subject to frequent updates by Google, Bing, and AI platforms. Rankings can fluctuate due to algorithm changes, competitor activity, or client-side website modifications — all of which are outside our control.
Our commitment is to deliver the agreed-upon services with full professionalism, transparency, and expertise.
Intellectual Property
Our Assets
All proprietary methodologies, frameworks, templates, tools, processes, training materials, and internal documentation developed by Redefine ROI remain our exclusive intellectual property. Clients do not acquire rights to these assets through an engagement.
Deliverables
Upon receipt of full payment, ownership of custom deliverables created specifically for your project — such as content, SEO strategies, audit reports, and optimized copy — transfers to you, the client.
Client-Provided Assets
You warrant that any materials, content, images, or data you provide to Redefine ROI do not infringe any third-party intellectual property rights. You grant us a non-exclusive licence to use these materials solely for the purpose of delivering your services.
Portfolio & Case Studies
Unless you explicitly opt out in writing, Redefine ROI reserves the right to reference your business name, logo, and general project outcomes (e.g., traffic growth percentages) in our portfolio, case studies, and marketing materials.
Confidentiality
Both parties agree to maintain the confidentiality of any sensitive business information shared during the engagement. Redefine ROI will not disclose your proprietary data, strategy details, or business information to third parties, except where:
- Required by law or regulatory authority,
- Necessary to deliver the services (e.g., sharing limited data with a vetted tool or platform), or
- You have provided explicit written consent.
This confidentiality obligation survives the termination of the engagement.
White-Hat Practices & Ethical SEO
Redefine ROI operates exclusively in accordance with Google’s Webmaster Guidelines and industry-accepted ethical SEO standards. We do not engage in:
- Black-hat link schemes, private blog networks (PBNs), or link buying
- Keyword stuffing, cloaking, or hidden text
- Spammy or deceptive content practices
- Any tactics designed to manipulate search engine results in violation of platform policies artificially
Clients must not request or instruct Redefine ROI to perform any unethical or guideline-violating SEO tactics. Any such request may result in immediate termination of the engagement without refund.
Third-Party Tools & Platforms
Our services may involve third-party tools, platforms, or services (e.g., SEO audit tools, keyword research software, analytics platforms, and AI tools). Redefine ROI is not responsible for:
- Downtime, errors, or changes in pricing by third-party platforms
- Changes to Google’s, Bing’s, or any AI platform’s algorithms or policies
- Data accuracy limitations inherent in third-party tools
Any direct costs of third-party tools or platforms incurred specifically for your project will be communicated in advance and are separate from our service fees.
Limitation of Liability
To the maximum extent permitted by applicable law:
- Redefine ROI’s total liability for any claim arising from or related to our services shall not exceed the total fees paid by you in the 3 months preceding the claim.
- We shall not be liable for any indirect, incidental, consequential, or punitive damages, including but not limited to loss of revenue, loss of business, loss of data, or loss of reputation, even if we have been advised of the possibility of such damages.
- We are not liable for any ranking drops, traffic losses, or business impacts caused by search engine algorithm updates, competitor actions, or client-side website changes.
Indemnification
You agree to indemnify, defend, and hold harmless Redefine ROI, its directors, team members, contractors, and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including legal fees) arising from:
- Your breach of these Terms,
- Your violation of any third-party rights,
- Any content, materials, or data you provide to us,
- Your use or misuse of any deliverables we produce.
Term & Termination
Duration
These Terms remain in effect for the duration of the service engagement and continue to apply to any ongoing obligations (such as confidentiality and IP ownership) after its conclusion.
Termination by Client
Clients may terminate an ongoing engagement by providing written notice in accordance with the terms of our Refund & Cancellation Policy. Fees for work completed up to the termination date remain payable.
Termination by Redefine ROI
We reserve the right to terminate an engagement immediately and without refund if:
- The client engages in abusive, threatening, or unlawful behaviour toward our team.
- The client requests unethical, black-hat, or guideline-violating SEO practices.
- Payment obligations are not met despite reasonable notice.
- The client materially breaches these Terms.
Effect of Termination
Upon termination, all licences granted under these Terms cease. Any outstanding payments become immediately due. Deliverables completed and paid for remain the client’s property.
Website Use
Permitted Use
You may access and use redefineroi.com only for lawful purposes. You agree not to:
- Scrape, copy, or reproduce any website content without written permission.
- Attempt to gain unauthorized access to any part of the website or its systems.
- Use the website in a manner that could damage, overburden, or impair it.
- Submit false, misleading, or fraudulent information through any form.

Entire Agreement
